Neo Financial is seeking a detail-oriented, energetic, and proactive Paralegal to join our team in Calgary, AB on a full-time basis. Reporting directly to internal Legal Counsel, you will play a key operational role in supporting Neo’s Legal team across a wide range of legal functions.

You will handle high-impact, independent workflows—from managing corporate governance and contract lifecycles to conducting legal research and managing external legal ops. • Education & Credentials: Paralegal Diploma, Certificate, or Bachelor's Degree from a recognized Canadian post-secondary institution (COPR/paralegal education equivalent preferred).

• Experience: 3–5+ years of experience as a Paralegal or Legal Specialist within an in-house corporate legal department (technology or financial services preferred) or a reputable law firm.

• Contract & Legal Operations: Hands-on experience with contract lifecycle management (CLM) platforms, legal entity management software, and document black-lining tools.

• Legal Research & Drafting: Proven ability to conduct legal research, analyze statutory provisions, and draft baseline agreements, corporate resolutions, and correspondence under supervising legal counsel.

• Core Competencies:

  • High level of sound judgment, analytical thinking, and discretion when handling sensitive corporate information.

  • Superior project management and organizational skills—ability to manage competing priorities with minimal supervision in a rapid-growth environment.

  • Exceptional written and verbal communication skills with meticulous attention to detail.

Contract Drafting & Review

• Conduct preliminary reviews, redlines, and issue identification for Non-Disclosure Agreements (NDAs), standard service agreements, vendor contracts, and third-party agreements.

• Prepare initial drafts of commercial agreements, legal templates, amendments, and routine legal correspondence under lawyer supervision.

• Manage contract execution workflows, ensuring appropriate authorization levels, execution tracking, and secure digital archiving.

Corporate Governance & Entity Management

• Prepare, maintain, and manage corporate minute books, annual returns, resolutions, officer/director updates, and extra-provincial filings across applicable jurisdictions.

• Organize and maintain centralized legal records, corporate calendars, and signature tracking systems.

• Assist with corporate structuring tasks, share issuance documentation, and due diligence requests for corporate transactions.

Legal Research & Operations

• Conduct preliminary legal and statutory research across Canadian jurisdictions (federal and provincial) to support strategic initiatives.

• Oversee external legal spend, including managing law firm e-billing, invoice reconciliations, and budget tracking in collaboration with Finance.

• Continuously refine standard operating procedures (SOPs), legal playbooks, and template libraries to increase department efficiency and self-serve capabilities for internal stakeholders.
